What closing an LLC involves

Wyoming closes an LLC with Articles of Dissolution: a paper form, signed and mailed with a $60 check. The state will not accept it while the LLC’s annual report is unpaid.

New Mexico closes an LLC with Articles of Dissolution filed online for $25. There is no annual report to clear first.

The IRS needs a last return marked final: Form 5472 with a pro forma 1120 for one owner, or Form 1065 for several. A letter then asks the IRS to close the EIN’s business account, which costs nothing.

The LLC keeps a registered agent until the state records the closing, so official mail still reaches you.

And doing it yourself?

You can file the closing yourself and pay only the state: $60 in Wyoming, $25 in New Mexico. In dollars, nothing costs less.

In Wyoming the form goes by post with a check in US dollars, which is hard to send from abroad. You also prepare the final Form 5472 and the pro forma 1120, and the letter that closes the EIN account.

How to close an LLC formed elsewhere with Haqi
