What one year of an LLC requires

Wyoming asks for an annual report every year, due on the first day of the month the LLC was formed. Its license tax is at least $60, paid to the state.

New Mexico has no annual report and no yearly state fee. What remains every year, in both states, is a registered agent: a company with a street address in the state that receives official mail for your LLC.

The IRS asks a foreign-owned LLC with one owner to file Form 5472 with a pro forma Form 1120 every year, even with no income; an LLC with several owners files Form 1065. A missing Form 5472 can cost a $25,000 penalty.

The beneficial ownership (BOI) report is no longer required from companies formed in the United States since FinCEN’s March 2025 rule, so it costs nothing.

You can file the Wyoming report yourself on the state’s website and pay only the state. In dollars, that can cost less than any service, Haqi included.

You still need a registered agent with a street address in the state, and you prepare Form 5472 and the pro forma 1120 yourself and send them to the IRS by fax or by post. Missing a date or a form is what the $25,000 penalty is for.

How to move your LLC to Haqi

Your LLC stays the same company, with the same name, number and EIN. Only the registered agent changes, and Haqi files that change for you.

Stripe Atlas forms Delaware companies, and its agent renews at $100 a year. Haqi renews and closes Wyoming and New Mexico LLCs only, so a Delaware company stays with its current agent.

  1. Create your free Haqi account.
  2. Add your LLC: upload its Articles of Organization, and the EIN letter if you have it. The page reads the name, state, filing number and formation date for you; check them and save. Adding an LLC is free.
  3. When the renewal opens, six months before your LLC’s anniversary, press Renew. The first year includes the state’s fee to name Haqi as your registered agent: $5 in Wyoming, $20 in New Mexico.

How much does renewing a Wyoming LLC cost with Haqi?
$121.44 for one year: the state’s $60 report and its $1.44 card fee, the registered agent at $50, and your IRS return at $10. For an LLC formed elsewhere, the first year is $126.44.
And a New Mexico LLC?
$80 for one year: the registered agent at $70 and your IRS return at $10. New Mexico has no annual report. For an LLC formed elsewhere, the first year is $100.
Can I renew with Haqi if another company formed my LLC?

When can I renew?

Do I still have to file a BOI report?
No. Since FinCEN’s March 2025 rule, companies formed in the United States no longer file BOI reports.
Is it cheaper to do it myself?
In dollars it can be. You then find a registered agent, file the state report, and prepare and send Form 5472 yourself, on time.
What if my LLC is late or owes penalties?
